These Terms & Conditions (“Terms”) govern your use of the Webrij website and your relationship with Webrij LLC (“Webrij,” “we,” “our,” or “us”) when you inquire about, purchase, or use our services.

By using our website, submitting a form, requesting a quote, approving a proposal, making a payment, or using Webrij services, you agree to these Terms.

If you do not agree with these Terms, do not use the website or services.

1. About Webrij

Webrij LLC provides website, digital, technical, hosting, SEO, automation, integration, commerce, CRM, software, maintenance, and partner-supported infrastructure services.

Our services may include:

  • Custom websites
  • Website redesigns
  • Hosting
  • Maintenance
  • SEO
  • Local SEO
  • CMS and content control
  • Forms, funnels, and intake systems
  • CRM and lead flow
  • Payment and commerce setup
  • Shopify and headless commerce support
  • Stripe setup and payment integrations
  • Automation and integrations
  • Custom software
  • Partner-supported IT and physical infrastructure
  • Partner-supported cybersecurity, networking, phone systems, camera systems, access control, hardware support, cloud services, cabling, compliance reviews, and related services

Some services may be provided directly by Webrij. Other services may be provided, supported, or fulfilled by partner companies.

2. Website Use

You may use the Webrij website for lawful, informational, and project inquiry purposes only.

You agree not to:

  • Copy, scrape, or reproduce website content without permission
  • Submit spam, false, misleading, or abusive information
  • Attempt to hack, damage, overload, or interfere with the website
  • Upload or transmit malware, viruses, or harmful code
  • Impersonate another person or business
  • Use the website for illegal, harmful, fraudulent, or abusive activity
  • Attempt to reverse engineer, probe, or exploit Webrij systems
  • Use forms to submit unlawful, confidential, or sensitive information that we did not request

Webrij may restrict, block, or refuse access to any user who misuses the website.

3. No Client Relationship From Website Use

Using the Webrij website, reading our content, submitting a form, or completing a funnel does not automatically create a client relationship.

A client relationship begins only when Webrij accepts the project and both sides approve the required proposal, scope, payment arrangement, agreement, or other written confirmation.

Website content is provided for general informational purposes only. Service descriptions, pricing examples, project examples, articles, or website copy do not guarantee that a specific service, feature, price, result, timeline, ranking, or outcome will apply to your project.

4. Project Inquiries, Quotes, and Proposals

When you submit a project inquiry, Webrij may review your information and contact you by email or phone.

Any quote, proposal, estimate, or recommendation is based on the information available at the time. Pricing, scope, deliverables, and timelines may change if the project requirements change or if new information becomes available.

A proposal or estimate is not binding unless Webrij confirms it in writing and the client accepts it according to the required process.

5. Service Scope

Each project should have an approved scope, proposal, quote, contract, statement of work, or written project agreement.

The project scope may define:

  • Deliverables
  • Pages, features, or systems included
  • Timeline
  • Payment schedule
  • Revision limits
  • Hosting or maintenance details
  • Third-party tools
  • Client responsibilities
  • Exclusions
  • Optional add-ons
  • Partner services
  • Support expectations

Anything not included in the approved scope may require additional pricing, approval, or a separate agreement.

6. Deposits and Payments

Webrij may require a deposit before starting work.

Payment terms may vary by project. Webrij may offer:

  • Fixed-price projects
  • Milestone-based billing
  • Monthly service plans
  • Hosting plans
  • Maintenance plans
  • Support plans
  • Add-on services
  • Custom payment schedules listed in a proposal

Payments are processed through Stripe or another approved payment method.

The client agrees to pay invoices, deposits, milestone payments, monthly fees, hosting fees, maintenance fees, support fees, and approved add-ons according to the applicable proposal or agreement.

7. Non-Refundable Work and Project Cancellation

Deposits, payments, and fees may become non-refundable once a project has started, work has been performed, resources have been allocated, or deliverables have been prepared.

If a client decides to pause, cancel, or end a project early, Webrij may bill for work completed, time spent, third-party costs, planning, setup, design, development, meetings, administrative work, and any approved or partially completed deliverables.

For milestone-based projects, Webrij may prorate or calculate the amount owed based on completed work, project progress, resources used, and the approved scope.

Webrij’s goal is client satisfaction. If a client is not satisfied, Webrij will make reasonable efforts to resolve concerns within the approved project scope. However, satisfaction efforts do not require Webrij to provide unlimited work, free out-of-scope services, or refunds for completed work.

8. Revisions and Client Satisfaction

Unless a proposal or agreement says otherwise, Webrij may include up to five revision rounds for applicable design or website deliverables.

A revision means a reasonable change to work that is already within the approved scope. Revisions do not include new features, major redesigns, new pages, new systems, new integrations, new strategy, or changes that materially expand the project.

For Webrij members, yearly clients, maintenance plans, or Brij Network clients, revision and update terms may differ and may include ongoing support or reasonable unlimited updates as described in the applicable plan or agreement.

Webrij may decline revision requests that are outside the project scope, technically unreasonable, abusive, excessive, or unrelated to the approved deliverables.

9. Changes to Scope

If the client requests changes that go beyond the approved scope, Webrij may provide additional pricing.

Out-of-scope changes may include:

  • Additional pages
  • New features
  • Major redesigns
  • Extra integrations
  • New forms or funnels
  • Ecommerce additions
  • CRM changes
  • Software functionality
  • Hosting changes
  • SEO expansion
  • Content writing beyond scope
  • Third-party tool setup not listed in the original scope
  • Partner IT or infrastructure work
  • Additional rounds of revision beyond the agreed limit

Webrij is not required to perform out-of-scope work unless both sides approve the change and any additional cost.

10. Client Responsibilities

The client is responsible for providing accurate, timely, and complete information needed for the project.

This may include:

  • Content
  • Images
  • Logos
  • Brand assets
  • Domain access
  • Hosting access
  • DNS access
  • Third-party account access
  • Product information
  • Business information
  • Feedback
  • Approvals
  • Payment
  • Legal policies
  • Required licenses
  • Client-side business rules
  • Any required compliance requirements specific to the client’s industry

The client is responsible for reviewing deliverables and notifying Webrij of required changes during the review period.

Webrij is not responsible for delays caused by missing content, missing access, late feedback, late approvals, unavailable third-party accounts, client-side decision delays, or unpaid invoices.

11. Project Delays and Client Inactivity

Webrij respects the client’s time and expects the client to respect Webrij’s time, schedule, and working hours.

If a client delays feedback, content, access, approvals, or payment, the project timeline may be extended.

If a project is delayed for an extended period because of client inactivity, Webrij may:

  • Pause the project
  • Reschedule the project based on availability
  • Require a restart fee
  • Require updated pricing
  • Bill for completed work
  • Close the project
  • Treat future work as a new project or add-on

Webrij may define specific inactivity timelines, restart fees, or delay fees in a proposal or agreement.

12. Hosting and Maintenance

Webrij may host client websites for a monthly fee.

Hosting and maintenance terms may vary by client, plan, or proposal.

Hosting may include:

  • Website deployment
  • Basic infrastructure management
  • General updates
  • Maintenance
  • Backups
  • Monitoring
  • Technical support
  • Reasonable content or site updates, depending on the plan

Unless otherwise stated, general updates and maintenance are included only within the limits of the applicable plan. Larger changes, new features, redesigns, integrations, emergency work, or out-of-scope requests may require additional fees.

13. Hosting Payment and Suspension

If a client fails to pay hosting, maintenance, or monthly service fees, Webrij may send notice to the client.

If payment is not received within 30 days after notice, Webrij may suspend, disable, or take down the hosted website or related services.

Webrij may restore service after payment is received, but restoration may depend on technical availability, account status, third-party systems, or additional fees.

Webrij is not responsible for business losses, lost leads, lost sales, search ranking changes, or other damages caused by nonpayment, suspension, or termination of hosting or maintenance services.

14. Uptime, Downtime, and Backups

Webrij aims to provide reliable hosting and maintenance services.

Unless a separate written agreement says otherwise, Webrij does not guarantee uninterrupted service, error-free operation, or constant website availability.

If Webrij offers an uptime commitment or prorated service credit, that commitment must be stated in the applicable hosting agreement, proposal, or service plan.

Downtime may occur because of:

  • Maintenance
  • Deployment
  • Third-party outages
  • DNS issues
  • Hosting provider issues
  • Cloudflare issues
  • Domain problems
  • Client changes
  • Security events
  • Internet disruptions
  • Force majeure events
  • Other issues outside Webrij’s control

Webrij may provide backups as part of hosting or maintenance services. Backup frequency, retention, and restoration terms may vary by plan.

15. Emergency Support

Webrij may provide emergency support when available.

Emergency support may be billed at a separate rate unless included in the client’s plan or agreement.

Webrij may determine what qualifies as an emergency. Emergency support does not guarantee immediate resolution, especially when an issue involves third-party platforms, domains, DNS, payment processors, Shopify, Stripe, hosting providers, or other external systems.

16. Support Response Times

Unless a proposal or agreement says otherwise, Webrij aims to respond to support requests within 24 to 48 business hours.

Webrij may respond faster when possible, but response times are not guaranteed unless a separate service-level agreement applies.

Response times may vary based on project status, support plan, urgency, availability, weekends, holidays, complexity, and third-party dependencies.

17. Ownership of Final Work

After final payment is received, the client owns the final website content and final approved design created specifically for the client, unless the proposal or agreement says otherwise.

Webrij retains ownership of its reusable code, frameworks, templates, systems, libraries, workflows, internal tools, processes, know-how, development methods, reusable components, and general technical patterns.

The client receives the right and license to use the final delivered website or deliverables for their business.

This does not prevent Webrij from reusing general code, components, systems, structures, ideas, workflows, patterns, or technical methods in other projects, as long as Webrij does not copy the client’s unique brand identity, confidential content, private business information, or complete website as a direct duplicate.

18. Client Content, Assets, and Licenses

The client is responsible for providing or approving content, images, logos, trademarks, product information, business details, copy, and other assets needed for the project.

The client represents that they have the right to use any materials they provide to Webrij.

If Webrij uses stock images, open-source tools, third-party libraries, plugins, fonts, services, APIs, or software, those materials may be subject to separate licenses, terms, fees, or restrictions.

Webrij does not use no-code builders as the core foundation unless specifically agreed in the project scope.

19. Portfolio and Public Display

Webrij may display completed work, client names, project summaries, screenshots, links, descriptions, or results in its portfolio, Works page, marketing materials, social media, proposals, or case studies.

If a client does not want their project displayed publicly, they must notify Webrij in writing.

Webrij will not intentionally disclose confidential client information in public portfolio materials.

20. Third-Party Tools and Accounts

Projects may require third-party services such as:

  • Domain registrars
  • Hosting providers
  • DNS providers
  • Stripe
  • Shopify
  • Google Business Profile
  • Google Workspace
  • CRM systems
  • Email marketing platforms
  • Scheduling platforms
  • Analytics tools
  • Payment tools
  • APIs
  • Plugins
  • Cloud services
  • Other business software

The required third-party tools should be listed in the proposal when known.

Webrij may help set up, configure, or manage third-party accounts, but the client is responsible for reviewing the terms, privacy policies, pricing, rules, and obligations of those third-party services.

Webrij is not responsible for third-party price changes, outages, feature changes, policy changes, account suspensions, data loss, billing issues, platform limitations, API changes, or discontinued services.

If a third-party platform changes, breaks, increases pricing, removes features, or becomes unsuitable, Webrij may notify the client and recommend options. The client is responsible for deciding whether to continue, replace, upgrade, or remove the affected service.

21. Payments, Stripe, Shopify, and Commerce

Webrij may build, configure, or connect commerce and payment systems using tools such as Shopify and Stripe.

Webrij may process its own client payments through Stripe.

For client ecommerce or payment systems, the client is responsible for:

  • Product details
  • Product pricing
  • Taxes
  • Shipping
  • Fulfillment
  • Refunds
  • Chargebacks
  • Customer service
  • Legal compliance
  • Business licenses
  • Terms of sale
  • Privacy policy
  • Return policy
  • Payment processor account status
  • Shopify or Stripe account rules
  • Any industry-specific obligations

Webrij does not store full credit card details on its own website or systems. Payment information is processed by third-party payment providers such as Stripe.

Webrij is not responsible for payment processor decisions, holds, chargebacks, disputes, account reviews, declined transactions, fraud, tax obligations, customer disputes, or ecommerce business operations unless a written agreement specifically says otherwise.

22. SEO and Marketing

Webrij may provide SEO, local SEO, content structure, technical SEO, metadata, sitemap setup, performance improvements, website structure, and related services.

Webrij may later provide paid advertising setup, ad tracking, conversion tracking, marketing integrations, or campaign support.

Webrij does not guarantee:

  • Search engine rankings
  • Website traffic
  • Leads
  • Sales
  • Revenue
  • Conversion rates
  • Ad performance
  • Google indexing speed
  • Search engine visibility
  • Specific keyword placement
  • Local map rankings
  • Business growth

SEO, marketing, and advertising results depend on many factors outside Webrij’s control, including competition, market demand, search engine algorithms, client budget, content quality, business reputation, location, customer behavior, and third-party platforms.

Webrij will make reasonable efforts based on the approved scope, but results are not guaranteed.

23. Accessibility

Webrij aims to build modern, usable, and accessible websites.

However, accessibility requirements may vary based on the project, business, industry, budget, scope, content, third-party tools, and legal obligations.

Unless a proposal specifically includes formal accessibility compliance, audits, remediation, or certification, Webrij does not guarantee that a website fully satisfies every accessibility law, regulation, guideline, or standard.

Clients are responsible for identifying any specific accessibility, legal, industry, or compliance requirements that apply to their business.

24. Partner Services

Some services may be provided through partner companies. This may include IT, physical infrastructure, networking, cybersecurity, phone systems, camera systems, access control, structured cabling, hardware support, cloud services, compliance reviews, security awareness training, or related services.

Partner services may require separate proposals, pricing, agreements, timelines, warranties, service terms, or privacy policies.

Webrij is not responsible for a partner’s separate acts, omissions, pricing, warranties, service quality, delays, or legal obligations unless Webrij expressly accepts that responsibility in writing.

25. Confidentiality

Webrij will make reasonable efforts to protect confidential business information shared by a client.

The client should clearly identify confidential information when appropriate.

Confidential information does not include information that is public, already known, independently developed, received from another lawful source, or required to be disclosed by law.

Webrij may share information with team members, contractors, technical providers, or partner companies when necessary to deliver services.

26. Warranties and Disclaimers

The Webrij website is provided on an “as is” and “as available” basis.

Webrij services are provided according to the approved scope, proposal, agreement, or plan.

To the fullest extent allowed by law, Webrij disclaims warranties that are not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free performance, guaranteed results, or specific business outcomes.

Webrij does not guarantee that the website, hosting, integrations, software, SEO, commerce systems, automations, third-party tools, or partner services will be uninterrupted, error-free, secure, or permanently available.

27. Limitation of Liability

To the fullest extent allowed by law, Webrij is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes, but is not limited to:

  • Lost profits
  • Lost revenue
  • Lost leads
  • Lost sales
  • Lost data
  • Business interruption
  • Website downtime
  • Search ranking changes
  • Third-party outages
  • Payment processor issues
  • Shopify or Stripe issues
  • Domain or DNS issues
  • Security incidents outside Webrij’s reasonable control
  • Client misuse
  • Client delays
  • Unauthorized account access
  • Platform changes
  • Customer disputes
  • Chargebacks
  • Advertising or SEO performance
  • Any damages caused by services, systems, or tools outside Webrij’s control

To the fullest extent allowed by law, Webrij’s total liability for any claim related to the website or services will not exceed the amount the client paid to Webrij for the specific service giving rise to the claim.

28. Indemnification

You agree to defend, indemnify, and hold harmless Webrij from claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your use of the website
  • Your misuse of Webrij services
  • Your violation of these Terms
  • Content, assets, or materials you provide
  • Your business operations
  • Your products or services
  • Your customers or users
  • Your ecommerce, payment, tax, refund, chargeback, shipping, or fulfillment obligations
  • Your violation of third-party rights
  • Your violation of applicable law
  • Your third-party accounts or platforms

29. Termination

Webrij may suspend or terminate website access, services, hosting, maintenance, support, or project work if:

  • The client fails to pay
  • The client violates these Terms
  • The client misuses services
  • The client requests illegal, unethical, abusive, or harmful work
  • The client fails to provide required access, feedback, content, or approvals
  • Continuing the project would create legal, technical, security, or business risk
  • A third-party platform prevents continued service
  • The project is inactive for an extended period

Termination does not remove the client’s obligation to pay for completed work, incurred costs, third-party fees, hosting, maintenance, support, or approved services.

30. Force Majeure

Webrij is not responsible for delays or failures caused by events outside our reasonable control.

This may include:

  • Natural disasters
  • Power outages
  • Internet outages
  • Hosting provider outages
  • Cloud service outages
  • Cyberattacks
  • Government action
  • Labor disruptions
  • War
  • Public emergencies
  • Third-party platform failures
  • Payment processor outages
  • Domain or DNS provider failures
  • Other events beyond reasonable control

31. Governing Law

These Terms are governed by the laws of the State of Indiana, United States, without regard to conflict of law principles.

Any dispute related to these Terms, the website, or Webrij services will be handled in the appropriate courts located in Indiana, unless another written agreement says otherwise.

32. Changes to These Terms

Webrij may update these Terms from time to time.

When we update them, we may revise the “Effective Date” at the top of this page.

Continued use of the website or services after changes are posted means you accept the updated Terms.

For active client projects, the terms in an approved proposal, contract, or signed agreement may control if they conflict with these website Terms.
